星空传媒 Inc. Announces Proposed Offering of $400,000,000 Senior Secured Notes due 2025

CLEVELAND--(BUSINESS WIRE)-- 星空传媒 Inc. (NYSE: CLF) (鈥淐liffs鈥) today announced that it intends to offer to sell, subject to market and other conditions, $400 million aggregate principal amount of Senior Secured Notes due 2025 (the 鈥淣otes鈥) in an offering (the 鈥淣otes Offering鈥) that is exempt from the registration requirements of the Securities Act of 1933 (the 鈥淪ecurities Act鈥).

The Notes will be guaranteed on a senior secured basis by Cliffs鈥 material wholly owned domestic subsidiaries (subject to certain exceptions and permitted liens), and secured by (i) a first-priority lien on substantially all of Cliffs鈥 assets and the assets of the guarantors (other than accounts receivable and other rights to payment, inventory, as-extracted collateral, investment property, certain general intangibles and commercial tort claims, certain mobile equipment, commodities accounts, deposit accounts, securities accounts and other related assets and proceeds and products of each of the foregoing (collectively, the 鈥淎BL Collateral鈥)) and (ii) a second-priority lien on the ABL Collateral, which is junior to a first-priority lien for the benefit of the lenders under Cliffs鈥 senior secured asset-based credit facility (the 鈥淎BL Facility鈥).

Cliffs intends to use the net proceeds from the Notes Offering for general corporate purposes, including to strengthen its balance sheet and increase liquidity, which may include repaying a portion of the borrowings outstanding under the ABL Facility.
