Cliffs Natural Resources Inc. Announces Increase in Size of Exchange Offers for Senior Notes from $750 million to $1.25 billion
CLEVELAND, March 5, 2015 /PRNewswire/ -- Cliffs Natural Resources Inc. (NYSE: CLF) today announced that it has amended its previously announced private offers (the "Exchange Offers") to exchange its newly issued 7.75% Senior Secured Notes due 2020 (the "Senior Secured Notes") for certain outstanding senior unsecured notes of Cliffs, upon the terms and subject to the conditions set forth in the Company's offering memorandum dated February 26, 2015, in order to increase the maximum aggregate principal amount of Senior Secured Notes to be exchanged from $750 million to $1.25 billion.
Cliffs has also increased the maximum principal amount of 6.25% Senior Notes due 2040 that will be accepted in the Exchange Offers from $325 million to $400 million.
The acceptance priority levels for each series of outstanding senior unsecured notes subject to the Exchange Offers (the "Existing Notes") and the applicable consideration offered for each series of Existing Notes remain unchanged. The deadlines for the Exchange Offers also remain unchanged.
Accordingly, eligible holders must validly tender their Existing Notes at or prior to 5:00 p.m., New York City time, on March 11, 2015 (the "Early Tender Date"), in order to be eligible to receive the applicable "Total Exchange Consideration". Existing Notes tendered after the Early Tender Date but prior to expiration of the Exchange Offers will not be eligible to receive the "Early Tender Premium" of $50 in principal amount of new senior secured notes per $1,000 principal amount of Existing Notes.
The Exchange Offers will expire at midnight, New York City time, on March 25, 2015 (the "Expiration Date"). Tenders of Existing Notes may not be withdrawn after 5:00 p.m., New York City time, on March 11, 2015, except in certain limited circumstances described in the offering memorandum and related letter of transmittal. The offering memorandum has been supplemented by a supplement dated March 5, 2015 (the "Supplement"), which contains the revisions described in this press release.
The senior secured notes to be issued in the Exchange Offers (the "Senior Secured Notes") will be unconditionally and irrevocably guaranteed by subsidiaries which directly or indirectly own substantially all of our domestic assets. The Senior Secured Notes will be secured by (1) second liens on substantially all of our assets and the assets of the subsidiary guarantors, except for the "ABL Collateral," which consists of accounts receivable, inventory and other assets securing our proposed new asset-based lending facility (the "ABL Facility"), and (2) third liens on the ABL Collateral. Accordingly, any Existing Notes that remain outstanding after the Exchange Offers will be structurally subordinated to the subsidiary guarantees of the Senior Secured Notes and will be effectively subordinated to the Senior Secured Notes to the extent of the collateral for the Senior Secured Notes. The Existing Notes are unsecured and are not guaranteed by any subsidiaries.
The consummation of the Exchange Offers is conditioned upon Cliffs having refinanced its existing revolving credit facility on terms and conditions satisfactory to Cliffs in its discretion. This refinancing may consist of Cliffs issuing approximately $500 million principal amount of senior secured first lien notes due 2020 and entering into the ABL Facility. The ABL Facility may provide up to $550 million of senior secured borrowing availability on a revolving basis, subject to borrowing base limitations. The Company intends to use the net proceeds from the refinancing for general corporate purposes. There can be no assurance that the refinancing will be consummated or as to the terms thereof.
The restriction on the incurrence of additional debt secured by the collateral for the Senior Secured Notes will provide that the maximum aggregate principal amount of such first lien indebtedness and second lien indebtedness will generally be limited to $2.5 billion, of which no more than $1.25 billion may be first lien indebtedness.  Â
The Exchange Offers are also conditioned on the satisfaction or waiver of certain customary additional conditions, as described in the offering memorandum and related letter of transmittal, including the Supplement. The Exchange Offers are not conditioned upon any minimum amount of Existing Notes being tendered. The Exchange Offers may be amended, extended or terminated, in each case either as a whole, or independently with respect to any one or more particular series of Existing Notes.
