Cliffs Natural Resources Inc. Closes Public Offering of Common Shares

CLEVELAND, June 13, 2011 /PRNewswire/ -- Cliffs Natural Resources Inc. (NYSE: CLF) (Paris: CLF) today announced that it has closed its previously announced offering of common shares. The total number of shares sold was 10,350,000, comprised of the 9,000,000 common shares initially offered and an additional 1,350,000 common shares pursuant to the underwriters' exercise of their overallotment option. Net proceeds at a price of $85.63 per share are approximately $853.7 million.

Cliffs intends to use the net proceeds from the offering to repay borrowings under the Company's previously announced bridge credit facility that was used to fund a portion of the Company's recent acquisition of Consolidated Thompson Iron Mines Limited. Any remaining net proceeds will be used for general corporate purposes.

J.P. Morgan Securities LLC, BofA Merrill Lynch and Citigroup Global Markets Inc. acted as joint book-running managers of the offering.
